Terms of Service

1. Who provides the service

Conceptos Lógicos, SRL (trading as “COLOGIC”, “we”, “us”), RNC (Dominican taxpayer ID) 124015261, a Dominican company founded in 1994, with offices at Av Pedro Livio Cedeño N 10, Edificio B-10, 2do piso, local 4B, Ens. La Fe, Santo Domingo 10514, Distrito Nacional, Dominican Republic. Telephone: +1-809-533-2825.

2. What these terms cover

These terms govern two things and only two: (a) use of this website, www.conceptoslogicos.com, and (b) the WhatsApp notification service we operate on behalf of our business clients.

They do not govern the supply of the ERP, the point-of-sale system or electronic invoicing. That relationship is governed by the contract signed between Conceptos Lógicos and each business client. Where these terms conflict with that contract, the contract prevails.

3. Acceptable use

In using the notification service, the client business undertakes not to:

Send messages to phone numbers whose holders have not given their consent.
Use the transactional channel for unsolicited advertising or non-consented bulk sending.
Send unlawful, fraudulent or misleading content, or content impersonating another person or entity.
Breach the WhatsApp Business Policies or any other Meta Platforms, Inc. policies applicable to the service.
Attempt unauthorised access to the platform, interfere with its operation, or reverse-engineer it.
Resell the service to third parties without our written authorisation.

We may suspend sending for a client business that breaches the above, and may do so without prior notice where the breach puts the WhatsApp number or the Meta account at risk.

4. Responsibility for message content

The client business is responsible for the content of the messages it sends and for holding its recipients’ consent. Conceptos Lógicos does not review or pre-approve that content, and does not decide who receives it.

5. Availability

The service is provided “as is”, with no guarantee of uninterrupted availability. It depends on third parties we do not control — in particular the WhatsApp Business Cloud API of Meta Platforms, Inc. and the infrastructure of Cloudflare, Inc. — as well as on the recipient’s network and device.

We do not guarantee that any particular message will be delivered, nor the time within which it will be. We may carry out maintenance that temporarily interrupts the service.

6. Limitation of liability

To the extent permitted by Dominican law, Conceptos Lógicos is not liable for indirect or incidental damages or for loss of profit arising from the use of, or inability to use, this website or the notification service. This includes, without limitation, messages not delivered, delivered late, or delivered to an incorrect number supplied by the client business.

Nothing in these terms excludes or limits liability that the law does not permit to be excluded or limited.

7. Intellectual property

The text, trade marks and logos on this site belong to Conceptos Lógicos, SRL, except for third-party elements used under licence. They may not be reproduced without written permission.

8. Third-party links

This site links to third-party services, such as our support portal and our web application. We are not responsible for the content or the privacy practices of sites we do not operate.

9. Data protection

The processing of personal data associated with this site and the notification service is described in our Privacy Policy. Data deletion requests are handled under the procedure published at Data Deletion.

10. Governing law

These terms are governed by and construed in accordance with the laws of the Dominican Republic, and any dispute arising from them shall be submitted to the competent courts of the Dominican Republic.

11. Changes to these terms

We may amend these terms. The version in force is always the one published at this address, with its effective date at the top. Substantial changes will also be communicated to client businesses through the usual support channels; continued use of the service after publication constitutes acceptance.
